Terms of Use

Last Updated: October 15, 2018

These terms of use are entered into by and between you and Amynta Agency Inc., its parents, affiliates and subsidiaries, which are a group of companies doing business as The Amynta Group™. This document will refer to these companies collectively as “The Amynta Group“, “we” or “us“. Certain Amynta Group companies are the providers and administrators of service contracts. Service contracts are sometimes referred to as “extended warranties” but in fact are not warranties. These terms do not modify the provisions of any service contract provided by an Amynta Group company. The following terms and conditions, together with any documents they expressly incorporate by reference, including the Website Privacy Policy (collectively, these “Terms of Use“), govern your access to and use of this website, including any related content, functionality and portals and services (this “Website“).

Acceptance of the Terms of Use
Please read the Terms of Use carefully before you start to use the Website. By using the Website, you accept and agree to be bound and abide by these Terms of Use and our Website Privacy Policy and any additional notices on the Website, which are incorporated herein by reference. If you do not want to agree to these Terms of Use or the Website Privacy Policy, or any additional notices incorporated herein, you must not access or use the Website.

The Website is offered and available to users who are 18 years of age or older. By using the Website, you represent that you are of legal age. If you do not meet these requirements, please do not access or use the Website.
Unless otherwise specified, the materials in this Website are presented solely for the purpose of providing information about our operations in the United States. We make no representation that materials in the Website are appropriate or available for use in other locations. If you access the Website from locations other than the United States, you are responsible for compliance with any applicable local laws.

Changes to the Terms of Use
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set forth in the Governing Law and Jurisdiction section will not apply to any disputes for which the parties have actual notice on or prior to the date the change is posted on the Website.

Your continued use of this Website following the posting of revised Terms of Use, revised Website Privacy Policy, or any new or revised additional notices means that you accept and agree to the changes. Your continued use of this Website after we make the changes/revision is deemed to be acceptance by you of all those changes, so please check these Terms of Use, the Website Privacy Policy and other notices on the Website periodically for updates.

Indemnification
You agree to defend, indemnify and hold harmless The Amynta Group, its licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website’s content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Website.

Governing Law and Jurisdiction
All matters relating to the Website and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision or rule (whether of the State of Texas or any other jurisdiction).
Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas and County of Tarrant. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration
Any dispute or claim relating in any way to your use of the Website will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement.
There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these Terms as a court would.

To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to The Amynta Group, Attn: Legal Department, 2200 Highway 121, Suite 100, Bedford, TX 76021. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA’s Supplementary Procedures for Consumer-Related Disputes. The AAA’s rules are available at www.adr.org or by calling 1-800-778-7879. Payment of all filing, administration and arbitrator fees will be governed by the AAA’s rules. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location.

THE AMYNTA GROUP AND YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION THE AMYNTA GROUP AND YOU EACH WAIVE ANY RIGHT TO A JURY TRIAL. THE AMYNTA GROUP AND YOU ALSO BOTH AGREE THAT YOU OR WE MAY BRING SUIT IN COURT TO ENJOIN INFRINGEMENT OR OTHER MISUSE OF INTELLECTUAL PROPERTY RIGHTS.

Waiver and Severability
No waiver of by The Amynta Group of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of The Amynta Group to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement
The Terms of Use, our Website Privacy Policy, and any additional notices on this Website constitute the sole and entire agreement between you and The Amynta Group with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website. These Terms of Use do not modify the provisions of any service contract, insurance contract, service, or similar product issued, or provided, to you by an Amynta Group company.
